Terms of Use

These terms have two parts. Part 1 covers the use of this website. Part 2 contains the general terms for the services InitHere ApS delivers, such as audits, projects, care plans and hourly work. If you have questions, email us at contact@inithere.com.

InitHere ApS, CVR 46004043, Løvetandsvej 22, 2700 Brønshøj, Copenhagen, Denmark (“InitHere”, “we”, “us”).

Part 1: Using this website

Information on the website

The website gives general information about InitHere and our services. We work to keep it correct and up to date, but it is not advice for your specific situation, and it is not a binding offer.

Prices on the website are in Danish kroner (DKK), excluding VAT, and can change. A price only becomes binding when it is part of a written quote or agreement.

Content and trademarks

Texts, graphics, the InitHere name and logo, and the design of this website belong to InitHere ApS or our licensors. You may read, share links to and quote short parts of our content with a clear reference to us. You may not copy the website or reuse larger parts of it, or use our name and logo in a way that suggests we are connected to you, without our written permission.

Articles on the website are for general information. Code examples in them may be used freely, at your own risk.

The website links to other websites and services, such as Calendly and LinkedIn. We are not responsible for their content or how they handle personal data.

Availability and liability

We aim to keep the website available and secure, but we cannot guarantee that it is always available or free of errors. To the extent the law allows, InitHere is not liable for loss caused by use of the website or by relying on its general information.

Personal data

Our privacy policy explains how we handle personal data when you use the website, contact us or book a call.

Part 2: General terms for our services

These terms apply to all audits, projects, care plans, hourly work and other services from InitHere, unless something else is agreed in writing. If a quote or agreement differs from these terms, the quote or agreement applies.

Our services are offered to businesses and organisations. They are not intended for consumers.

1. Quotes and agreements

An agreement is made when you accept a written quote, or when we confirm your order in writing, for example by email. The quote describes what is included, the price and the expected timeline.

Quotes are valid for 30 days, unless the quote says otherwise.

2. Changes to the scope

Requests for work outside the agreed scope are handled as change requests. Before we start the extra work, we tell you how it affects price and timeline, and the change only applies once you accept it in writing. Small adjustments can be agreed by email.

3. Prices

All prices are in DKK excluding VAT. VAT is added according to Danish rules. Clients outside Denmark are invoiced according to EU VAT rules.

Hosting, software licences, domain names and third-party services (such as cloud providers and AI APIs) are not included. They are paid by you directly, in accounts you own, unless otherwise agreed.

Work outside normal working hours (evenings, weekends and holidays) and urgent work is invoiced at our rate for urgent work, if you have asked for it.

4. Payment

  • Audits are invoiced when ordered.
  • Fixed-price project phases are invoiced 30% at the start, 40% at agreed milestones and 30% on delivery, unless the quote says otherwise.
  • Care plans are invoiced monthly.
  • Hourly work is invoiced monthly, based on the time used.

Payment terms are 14 days from the invoice date. If payment is late, we may charge interest and reminder fees according to the Danish Interest Act (renteloven). If an invoice is more than 30 days overdue, we may pause the work after giving you written notice.

5. Audit fee credit

If you order a project from us within 60 days of receiving the audit report, the full audit fee is deducted from the price of the project.

6. Care plans

  • Care plans have no minimum term. Either party can cancel with one month’s notice to the end of a month.
  • Included hours that are not used can be carried over to the following month. After that they expire.
  • Hours beyond those included are invoiced at the extra-hour rate for your plan.
  • If you pay 12 months up front, you get the discount stated on our website at the time of ordering.
  • The guaranteed response time for critical issues follows your plan. A response means that we have started working on the issue, not that it is solved.

7. Dedicated developer

A dedicated developer agreement can be cancelled by either party with two months’ notice to the end of a month, unless otherwise agreed in writing.

8. Founding-client offer

Clients accepted under our founding-client offer get the reduced hourly rate stated in their agreement for the first 12 months. In return, the client agrees that we may publish a short case study and show the client’s name and logo. Audits and care plans are charged at list price.

9. Your contribution

To deliver on time, we depend on you to:

  • give us the access, information and decisions we need, in time
  • appoint a contact person who can make decisions
  • make sure you have the right to give us access to your systems, code and data
  • review and approve deliveries within the agreed time

If we are delayed because something we depend on from you is late, the timeline moves accordingly, and extra work caused by the delay may be invoiced.

10. Delivery and approval

Each delivery or phase is reviewed by you when we hand it over. If you have not reported significant errors within 10 working days, or if you start using the delivery in production, it counts as approved.

11. Ownership of the code

You get full ownership of the code, documentation and other deliverables we create specifically for you, once the related invoices are paid in full. This includes the right to change, develop further and transfer them.

We keep the rights to our own tools, templates, general know-how and code that existed before the project or that is not specific to you. Where such elements are part of your delivery, you get a permanent, free right to use, change and develop them as part of the delivery.

Open-source components are used under their own licences. We choose components with licences that allow commercial use.

12. Warranty

Fixed-price deliveries include a 60-day warranty from approval. In that period, we fix errors in the code we delivered free of charge, where the code does not work as agreed. The warranty does not cover errors caused by changes made by others, by third-party services, by hosting or infrastructure we do not manage, or by use that was not agreed.

After delivery you also get 30 days of support for questions about the delivery.

13. Data and backups

We plan migrations and changes so that data is protected, with backups and a rollback plan for each step, as described in the agreed plan. Unless backups are part of our agreed work (for example in a care plan), you are responsible for having current backups of your systems and data before we start.

14. Confidentiality

Both parties keep the other party’s confidential information secret, including code, data, business information and the terms of the agreement, also after the agreement ends. This does not apply to information that is already public, or that must be disclosed by law. We sign a separate non-disclosure agreement (NDA) on request.

Our engineers and subcontractors are bound by the same confidentiality.

15. Personal data

If we process personal data on your behalf, for example in your systems or databases, you are the data controller and we are your data processor. We then sign a data processing agreement (databehandleraftale) before we get access to the data. Our privacy policy explains how we handle personal data as data controller.

16. Use of AI tools

Our engineers use AI tools to work faster, but every change is reviewed, tested and approved by an experienced engineer. We do not put your confidential code or data into AI tools that use it to train their models, and we follow any rules you give us about AI tools.

17. Subcontractors

Parts of the work may be done by engineers in our team who work remotely, including outside Denmark. InitHere remains responsible for their work, and they are bound by the same confidentiality and data protection terms as we are.

18. Limitation of liability

InitHere is liable for losses under the general rules of Danish law, with these limits:

  • We are not liable for indirect losses, such as lost profit, lost revenue, loss of goodwill or business interruption.
  • We are not liable for loss of data, unless the loss is caused by our gross negligence or intent and could not have been restored from backups.
  • Our total liability under an agreement is limited to the amount you paid for the service in question during the 12 months before the loss occurred.

These limits do not apply if we caused the loss through gross negligence or intent.

19. Force majeure

Neither party is liable for delays or failures caused by circumstances outside the party’s control that could not reasonably have been foreseen, such as war, natural disasters, pandemics, major cyber attacks, or failures at public infrastructure or large providers.

20. Termination

Either party can terminate an agreement immediately if the other party materially breaches it and has not fixed the breach within 14 days of receiving written notice. If a project agreement ends early, you pay for the work done until the end date, and you get the deliverables you have paid for.

21. Law and disputes

These terms and all agreements with InitHere are governed by Danish law. We will always try to solve disagreements through dialogue first. If that is not possible, disputes are decided by the Copenhagen City Court (Københavns Byret) as the first instance.

22. Changes to these terms

We may update these terms. The version in force when an agreement is made applies to that agreement, unless both parties agree otherwise in writing.
